Platform Terms of Use

The terms on which a firm's advisers use Yoke Platform. These sit underneath the services agreement already signed with your firm.

Version
1.0
In effect from
16 August 2026

1. Who these terms are for

Yoke Platform ("the Platform") is provided by Yoke ("we", "us", "our"), a company registered in England and Wales with company number [COMPANY REGISTRATION NUMBER] and registered office at [REGISTERED OFFICE ADDRESS].

These terms apply to you as a named individual user, where the firm you work for ("your Firm") has a services agreement with us and we have issued you with an account. They govern how you personally use the Platform.

2. These terms do not change your Firm's agreement with us

Your Firm has already entered into a written services agreement with us (the "Services Agreement"). That agreement is the contract between our two companies, and it continues to govern the services, the fees, the service levels, the allocation of liability, the data protection terms, and how either party may bring the arrangement to an end.

If anything in these terms conflicts with the Services Agreement, the Services Agreement prevails. Nothing in these terms varies, waives, replaces or adds to it, and accepting these terms is not a variation of it. They exist only to set out what is expected of each individual person who is given a login, which is not something a signed contract between companies can practically do.

If you are not sure whether your Firm has a Services Agreement with us, or what it says, speak to whoever at your Firm holds the relationship with us before you continue.

3. Your account

  • Accounts are issued by invitation to a named individual. Your account is personal to you and must not be shared or transferred, including to a colleague, an assistant or a paraplanner at your Firm. If someone else at your Firm needs access, ask us and we will issue them their own account.
  • Keep your password and any one-time codes confidential, and use a password you do not use for any other service.
  • You are responsible for what is done under your account.
  • Your Firm must tell us promptly when someone with an account leaves the Firm or no longer needs access, so that we can revoke it.
  • Tell us at once, at [SECURITY CONTACT EMAIL], if you believe your account has been accessed by anyone else.

4. What the Platform is, and what it is not

The Platform gives you visibility of the work we carry out for your Firm. Its purpose is to let you see the progress of cases and reviews, read and add notes, open documents we have shared with your Firm, ask us to change your Firm's recorded preferences, and give us feedback.

The Platform is a window onto our work for you. It is not:

  • your Firm's system of record. You remain responsible for your own client files, your own record keeping and your own regulatory obligations, and you should not rely on the Platform as the only place your records exist;
  • advice. Nothing shown in the Platform is financial, legal, tax or regulatory advice to you or to your clients, and nothing in it should be passed to a client as though it were;
  • a channel for urgent or time-critical instructions. Use the contact route agreed with us for anything that cannot wait.

5. Information you give us

  • You are responsible for the accuracy and completeness of what you submit through the Platform, including preference changes, notes and documents. We act on what your Firm tells us.
  • Where you upload or enter personal data about your clients or your colleagues, you confirm that your Firm is entitled to share it with us for the purpose of the services, and that it has given the people concerned whatever information the law requires.
  • Do not upload anything unlawful, malicious, or unrelated to the services we provide to your Firm.

6. Data protection

In relation to personal data about your Firm's own clients, your Firm is the controller and we act as a processor on your Firm's instructions. The data processing terms in the Services Agreement govern that relationship, and nothing in these terms changes them.

Separately, we are the controller of personal data about you as a user of the Platform — your name, your work contact details, and the record of what you do in it. How we handle that is set out in our Privacy Notice.

Your use of the Platform is logged. We keep a record of sign-ins and of changes made to records, including which account made each change and when. We use these records to keep the Platform secure, to investigate problems, and to evidence the work we have done for your Firm.

7. Acceptable use

You must not:

  • attempt to access any record belonging to a firm other than your own, or any part of the Platform your account is not permitted to reach, including by altering an address in the browser;
  • attempt to circumvent or test the Platform's authentication, permissions or logging, or probe it for vulnerabilities, without our written consent;
  • extract data in bulk, scrape the Platform, or connect automated tools to it without our written consent;
  • copy, adapt, decompile or reverse engineer the Platform, or attempt to derive its source code, except as permitted by law;
  • use the Platform to store or transmit material unrelated to the services we provide to your Firm;
  • introduce anything malicious, or do anything that interferes with the Platform's operation or with another user's use of it.

8. Availability

We will use reasonable endeavours to keep the Platform available, but access may be interrupted for maintenance, for upgrades, or for reasons outside our control. Where we can, we will give notice of planned maintenance. Any committed service levels are those in the Services Agreement; there are no others.

9. Intellectual property

The Platform, and all software, design and content in it other than your Firm's own data, belongs to us or to our licensors. You are given a personal, non-exclusive, non-transferable right to use it for as long as your Firm's Services Agreement is in force and your account remains active, and for no other purpose.

Your Firm's data remains your Firm's. Its treatment, including what happens to it when the Services Agreement ends, is governed by that agreement.

10. Suspending an account

We may suspend or withdraw an individual account immediately where we reasonably believe it has been compromised, where it is being used in breach of these terms, or where we are required to do so by law. We will tell your Firm when we do, unless we are prevented from doing so.

Suspension of an individual account is not suspension or termination of the services to your Firm, which is governed by the Services Agreement.

11. Liability

Our liability to your Firm is set out in the Services Agreement, including any exclusions and any cap on it. These terms do not create any separate liability to you personally beyond what the law requires, and nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

12. Changes to these terms

We may update these terms from time to time. When we do, the version number changes and you will be asked to read and accept the new version the next time you sign in. Your acceptance of each version is recorded with the date and time.

Changes that would affect the services themselves, the fees, or your Firm's rights under the Services Agreement are not made this way — they go through the change process in that agreement.

13. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of them — except where the Services Agreement provides otherwise, in which case that agreement applies.

Questions about these terms should go to [CONTACT EMAIL].
